The tokenized U.S. securities available in Fizen are issued by Ondo, a global provider of tokenized securities. Ondo structures its products under these legal frameworks:

Regulation S

United States

MiFID II

European Union

MiCA

European Union
The legal treatment of tokenized securities is still new and differs in every country. Fizen does not warrant how any token is classified in your country. You are responsible for making sure that buying, holding and selling a token is legal where you are.

Who can use the feature

Not available to U.S. Persons. The tokens are only offered and sold to non-U.S. persons who live outside the United States and place orders from outside the United States.
Under section 3.1 of the Tokenized Securities Terms, you must also:
  • not be habitually resident in, or access the feature from, a jurisdiction where Fizen has decided the feature is not available. At a minimum this includes the United States, U.S. territories, comprehensively sanctioned jurisdictions, and any jurisdiction in which Ondo has restricted the relevant token;
  • meet any investor-eligibility criteria Ondo sets for a token;
  • not be on, or owned or controlled by someone on, a sanctions or restricted-party list;
  • comply with the laws of your own country.
The Terms also carry specific notices for the European Economic Area, the United Kingdom, Hong Kong and Singapore (section 12). Fizen does not market this feature to people in the United Kingdom, mainland China or Hong Kong.

How the U.S.-Person exclusion is enforced

Fizen uses IP-based geo-blocking, KYC data from other Fizen services where available, and behavioural signals. Ondo runs its own eligibility checks. Using a VPN, proxy or false information to get around these checks is a material breach of the Terms and can lead to a permanent ban and reporting to the authorities.
Seeing the feature in your app does not confirm that you are eligible under your local law. Get your own legal, tax and investment advice if you are unsure.

Security of your assets

  • The Fizen wallet is self-custody. You hold your own keys and sign every trade yourself.
  • Tokens and sale proceeds settle directly to your own wallet. Fizen does not hold your funds or tokens at any point.
  • Keep your secret phrase or passkey backup safe. Fizen cannot recover a lost wallet.
  • Tokens are not covered by any deposit insurance or investor compensation scheme.
