These tokens are only offered and sold to non-U.S. persons who live outside the United States and place orders from outside the United States. The feature is not available to U.S. Persons.
Yes. Eligibility depends on national rules. Under Regulation S, only non-U.S. users can hold these tokens, and some other jurisdictions impose their own restrictions.Under the Tokenized Securities Terms, the feature is not available, at a minimum, in the United States, U.S. territories, comprehensively sanctioned jurisdictions, and any jurisdiction in which Ondo has restricted the relevant token. The Terms also carry specific notices for the EEA, the United Kingdom, Hong Kong and Singapore. Fizen does not market the feature to people in the United Kingdom, mainland China or Hong Kong. See Legal & Security.
No separate KYC is needed for this feature. The Fizen wallet is non-custodial, and Fizen does not run KYC to give you access to tokenized U.S. stocks. If you have completed KYC for another Fizen service, that data is used for sanctions and U.S.-Person screening.
The Fizen wallet is non-custodial. Your tokens and transactions sit in your own wallet, and you do not need to give Fizen personal information to invest. Fizen does not hold your assets.Keep in mind that blockchains are public: anyone who knows your wallet address can see its balances and transactions. Your holdings stay private as long as you do not share your address. Fizen, Ondo and the liquidity providers also apply sanctions and anti-money-laundering screening to trades.
You can sell them directly in the Fizen Super App and receive a stablecoin (for example USDC) back in your wallet. See Sell Tokenized U.S. Stocks.
You buy and sell with USDT or USDC on Ethereum. Keep a little ETH in your wallet for network (gas) fees. The app shows which stablecoins are available for each trade.
The total cost can include the liquidity provider’s spread or fee, the 1inch Fusion protocol fee, any Ondo fee built into the token, Ethereum gas, and a Fizen interface fee if any. Every fee is shown before you confirm. See section 5 of the Tokenized Securities Terms.
At the moment, Fizen and its partners do not withhold tax when you invest in these products. You are still responsible for declaring and paying any tax due under the rules of your country of residence. This is not tax advice.
If an order is only partly matched, it is recorded as partially matched and:
  • Buy orders: you are charged only the amount used to buy the tokens that were matched, and you receive those tokens.
  • Sell orders: only the tokens that were matched leave your wallet, and you receive the value of the tokens actually sold.
Dividends paid by U.S. companies are subject to 30% U.S. withholding tax at source, under U.S. Internal Revenue Service (IRS) rules. The rest is not paid out to you directly. It is reinvested in the underlying asset and reflected in the value of the token.Ondo handles reinvested dividends differently depending on the network:
  • Ethereum (the network used in Fizen): dividends are reinvested and the value of each token rises with its net asset value (NAV). You do not receive extra tokens.
  • Solana: dividends are used to mint additional tokens, so the number of tokens in the wallet increases.
Your rights to dividends, distributions and voting are set by Ondo and may be less than those of a direct shareholder. See section 7.4 of the Tokenized Securities Terms.
Yes, under these conditions:
  • the recipient is not a U.S. Person;
  • you send to a wallet or exchange that supports the token on a supported network (such as Ethereum, Solana or BNB Chain). Tokens bought in Fizen are on Ethereum, so only send them to an address that supports that token on Ethereum;
  • any other conditions that apply from time to time, including lock-up, transfer or holding-period restrictions set by Ondo.
  • You can buy and sell on-chain at any time, including outside U.S. market hours (liquidity can be thinner when the U.S. market is closed).
  • You hold the tokens yourself in your own wallet, not with an intermediary.
  • Tokenized U.S. stocks can be held as on-chain assets alongside the rest of your portfolio.
  • Dividends are reinvested automatically: Ondo’s tokenized U.S. stocks are designed to reinvest dividends into the token’s value.
These benefits come with risks. Prices can fall and you can lose money. This is not financial advice.
